Conditions for Working with Poonam Garments

These terms govern quotations, sampling, production, delivery, quality, pricing, and liabilities for B2B uniform manufacturing engagements with Poonam Garments.

Scope & Definitions

  • Applies to all quotes, samples, purchase orders, and production runs issued by Poonam Garments.
  • Specific order terms (fabric, GSM, branding, sizing, delivery instructions) are confirmed in writing.
  • Conflicts: order confirmation or master service terms override these standard terms where agreed in writing.

Quotations, Orders & Changes

  • Quotes are typically valid for a limited period and subject to material availability.
  • Orders begin on written confirmation (PO/email) and agreed advance payments, if any.
  • Changes or cancellations after confirmation may affect price, lead time, and feasibility.

Pricing & Payment

  • Pricing is based on confirmed specifications, quantities, and delivery locations.
  • Payment milestones (advances, stage payments, balance) are defined in the order confirmation.
  • Delays in payment may pause production or dispatch schedules.

Samples & Approvals

  • Fit, fabric, and branding samples may be provided for approval before bulk.
  • Written approvals govern bulk production; deviations require fresh approvals.
  • Minor shade or size tolerances follow industry norms unless otherwise agreed.

Production, Delivery & Risk

  • Lead times depend on order size, seasonality, and material readiness.
  • Dispatch terms (e.g., ex-works/door delivery) are stated in the order; risk transfers at dispatch as specified.
  • Delays due to force majeure or supplier disruptions will be communicated promptly.

Quality & Warranty

  • Goods are produced to agreed specifications and reasonable industry tolerances.
  • Defects must be reported promptly upon delivery with supporting details.
  • Remedies may include repair, replacement, or credit at Poonam Garments’ discretion, subject to inspection.

Brand Assets & IP

  • Customer logos and marks are used solely to produce the ordered goods.
  • Customers warrant they hold rights to the branding supplied.
  • No license is granted to either party beyond fulfilling the specific order.

Confidentiality & Data

  • Each party will keep non-public business and order information confidential.
  • Personal/contact data is handled per our Privacy Policy for B2B service delivery.
  • Operational sharing with vetted vendors follows confidentiality controls.

Liability & Force Majeure

  • Indirect, consequential, or special damages are excluded to the maximum extent permitted by law.
  • Force majeure events (e.g., natural disasters, strikes, supply interruptions) may extend timelines.
  • Total liability is typically limited to the value of the affected order, unless otherwise agreed.

Governing Law, Disputes, Notices

  • Governing law: India, unless otherwise specified in a master agreement.
  • Disputes: parties will first seek amicable resolution; failing that, jurisdiction lies with competent courts in Gujarat, India (unless otherwise agreed).
  • Notices and updates to terms may be provided via email or posted on the website; continued engagement signifies acceptance of updates.
